1. Program Overview
These Terms & Conditions govern the SweetRewards loyalty program (the “Program”) offered by Sweetwaters Coffee & Tea and its participating locations (“Sweetwaters,” “we,” “us,” or “our”). The Program allows enrolled members (“Members”) to earn loyalty points (“Points”) on qualifying purchases and to redeem eligible Points for rewards, benefits, or offers made available through the Program (“Rewards”).
Participation in SweetRewards is subject to these Terms & Conditions, the terms displayed in the Sweetwaters mobile app or other Program interface, and any additional restrictions or terms disclosed with a particular Reward or promotion. By enrolling in or using SweetRewards, a Member agrees to these Terms & Conditions.
2. Eligibility, Enrollment, and Accounts
The Program is intended for individual consumers, at least 18 years of age, or 13–17 with parental/guardian consent, and a valid phone number. Each Member may maintain only one SweetRewards account unless Sweetwaters expressly permits otherwise. A SweetRewards account is personal to the Member and may not be shared, sold, assigned, or maintained for a business entity, reseller, aggregator, organization, or group.
Members are responsible for providing accurate account information and maintaining the security of their account credentials. Sweetwaters may combine, suspend, close, or otherwise address duplicate, fraudulent, improperly created, or improperly used accounts and may remove Points or Rewards associated with such accounts.
Members may not create or use multiple accounts to obtain duplicate enrollment bonuses, promotions, Rewards, or other benefits, or attempt to combine Points between accounts except where Sweetwaters expressly provides that functionality.
3. Participating Locations
SweetRewards is available only at Sweetwaters Coffee & Tea locations that participate in the Program. Participation, available Rewards, redemption methods, and Program features may vary by location, including at licensed, non-traditional, campus, airport, hospital, office, or other specialty locations.
Not every Reward, menu item, or Program feature will be available at every participating location. Participation by a location may begin, change, or end at any time, subject to applicable law.
4. Earning Points
Members may earn Points on qualifying purchases or through other activities, promotions, or opportunities that Sweetwaters designates as eligible from time to time (the standard baseline earning = 1 Point for every $1 spent on qualifying purchases). Points are earned on net purchase amounts after all discounts, coupons, and rewards are applied, and prior to applicable taxes and fees. The number of Points earned, qualifying items or transactions, and any exclusions are determined by Sweetwaters and may be changed as provided in these Terms & Conditions.
Points are generally credited to the Member account associated with the qualifying transaction. Points may take time to appear. Sweetwaters may correct Point balances or other account information if Points are credited or deducted in error, if a transaction is cancelled or refunded, or if Sweetwaters determines that Points were earned through fraud, abuse, mistake, system error, or activity inconsistent with these Terms & Conditions.
Unless Sweetwaters expressly states otherwise, the following do not earn Points: sales or use taxes; tips or gratuities; service, delivery, convenience, or small-order fees; gift card purchases or reloads; amounts paid using a Reward or promotional credit; free or complimentary items; and other excluded items identified by Sweetwaters. Purchases made through third-party ordering or delivery platforms, including DoorDash, Uber Eats, Grubhub, or similar services, may be excluded unless specifically identified as eligible.
5. Missing Points and Account Corrections
Requests for missing Points must be submitted within thirty (30) days after the applicable qualifying transaction unless Sweetwaters provides a different period for a particular transaction type or promotion. Sweetwaters may require an original or electronic receipt, transaction information, or other reasonable verification. Sweetwaters is not obligated to award Points retroactively when a request is late, incomplete, unverifiable, or otherwise ineligible.
Sweetwaters may correct, reverse, add, or deduct Points or Rewards at any time to address duplicate credits, technical or administrative errors, cancelled or reversed transactions, account misuse, or other inaccuracies. Sweetwaters’ records regarding Program transactions and balances will control absent manifest error.
6. Points Are Promotional; No Cash Value or Transferability
Points are promotional loyalty benefits only. Points do not constitute cash, stored value, a gift card balance, property, wages, legal tender, or any other monetary or ownership interest. A SweetRewards account is not a bank account, deposit account, gift card, stored-value account, credit account, debit account, or other financial account.
Members have no vested ownership interest in Points. Points are not transferable and may not be sold, purchased, assigned, bartered, brokered, gifted, pledged, inherited, or otherwise transferred between Members or accounts, except if Sweetwaters expressly introduces a Program feature that permits a specific transfer.
Points are not redeemable for cash and will not be paid, refunded, reimbursed, or converted into cash, a check, credit, gift card, store credit, or any other cash-equivalent value, except where required by applicable law.
7. Redeeming Points and Rewards
Members may redeem available Points only for Rewards then offered through SweetRewards and subject to the terms, availability, Point requirements, expiration dates, participating-location restrictions, and other limitations associated with the applicable Reward.
Points may not be redeemed for products, services, merchandise, credits, gift cards, cash, or other items except as expressly identified as an available SweetRewards Reward. Sweetwaters may add, remove, substitute, limit, or change Rewards and the number of Points required for redemption, subject to these Terms & Conditions and applicable law.
Rewards are subject to product availability. A participating location may be unable to provide a particular Reward or item because of inventory, operational limitations, local menu differences, or other circumstances. Sweetwaters may substitute, modify, or discontinue Rewards and does not guarantee availability of any particular Reward at any particular location.
8. Activated Rewards and Expiration
Points and Rewards are separate Program benefits. When Points are exchanged for or used to activate a Reward, the applicable number of Points may be deducted immediately from the Member’s account. An activated Reward may have its own expiration date or redemption period, which may be shorter than any expiration period applicable to Points.
If an activated Reward expires before use, Sweetwaters is not required to restore the Points used to obtain that Reward, replace the Reward, or provide cash or other compensation, unless Sweetwaters determines otherwise or applicable law requires it. Additionally, points expire after 12 consecutive months of zero account activity.
Any expiration policy applicable to Points will be disclosed through the Program, the Sweetwaters app, or other reasonable means. Sweetwaters may adopt or modify Point-expiration rules as permitted by applicable law and as provided in Section 15 below.
9. Location Closure, Sale, Transfer, or Change in Participation
Points are associated with a Member’s SweetRewards account and are not tied solely to the particular Sweetwaters location where the Points were earned.
If a Sweetwaters location closes, is sold or transferred, changes ownership, or ceases participating in SweetRewards, a Member may continue to redeem valid, unexpired Points at other Sweetwaters locations that participate in the SweetRewards Program, subject to these Terms & Conditions and the availability and terms of the applicable Rewards.
The closure, sale, transfer, change in ownership, or discontinuation of SweetRewards participation by a particular location does not create any right to a cash refund, reimbursement, gift card, store credit, replacement product, or other monetary payment for Points or Rewards. Points may be redeemed only for products or benefits specifically made available through SweetRewards.
If there are no participating SweetRewards locations reasonably available to a Member, the Member’s Points remain subject to these Terms & Conditions and do not become redeemable for cash, gift cards, store credit, unrelated products, or any other form of monetary or substitute value, except where required by applicable law.
10. Promotions, Bonus Points, and Special Offers
Sweetwaters may periodically offer bonus Point opportunities, limited-time promotions, birthday or anniversary benefits, special Member offers, challenges, or other benefits. Such offers may have separate eligibility requirements, expiration dates, participating-location restrictions, redemption limits, or other conditions.
If the terms of a specific promotion or Reward conflict with these Terms & Conditions with respect to that promotion or Reward, the specific promotion or Reward terms will control for that promotion or Reward. Sweetwaters may limit promotions to selected Members, locations, channels, products, or time periods.
11. Returns, Refunds, Chargebacks, and Reversed Transactions
If a purchase for which Points were earned is returned, refunded, cancelled, voided, disputed, charged back, or otherwise reversed, Sweetwaters may deduct the corresponding Points from the Member’s account. If the Member has already used those Points, Sweetwaters may adjust the Member’s Point balance, including to a negative balance, or take other reasonable action to correct the account.
A negative Point balance may reduce or prevent future Reward redemption until sufficient Points are earned or the balance is otherwise corrected. Sweetwaters may also reverse or cancel Rewards obtained through Points associated with a reversed transaction.
12. Account Misuse, Fraud, and Abuse
Sweetwaters may suspend or terminate a SweetRewards account, cancel Points or Rewards, restrict future participation, or take other appropriate action if Sweetwaters reasonably believes that a Member has engaged in fraud, abuse, manipulation, unauthorized account access, resale activity, repeated misuse of offers, creation of duplicate accounts, automated or scripted activity, or conduct inconsistent with these Terms & Conditions or applicable law.
Attempts to redeem single-use offers multiple times, use another person’s account without authorization, artificially generate transactions or Points, or exploit an error, bug, or system malfunction may result in cancellation of Points or Rewards and suspension or termination of Program participation.
13. Technology, Outages, and Errors
Program functionality depends on technology, communications networks, point-of-sale systems, mobile devices, third-party service providers, internet connectivity, and other systems that may occasionally be unavailable or operate incorrectly. Sweetwaters does not guarantee uninterrupted access to the Program or the ability to earn or redeem Points or Rewards at all times.
To the fullest extent permitted by applicable law, Sweetwaters is not responsible for temporary inability to earn or redeem Points or Rewards caused by system maintenance, service interruptions, network or connectivity problems, third-party technology failures, corrupted or unavailable account data, or other technical conditions. Sweetwaters may, but is not required to, make reasonable account adjustments when it determines that an error occurred.
14. Communications and Program Information
By participating in SweetRewards, Members may receive Program-related communications, including account notices, Reward notifications, service messages, transaction confirmations, or other administrative communications. Marketing communications will be handled in accordance with applicable law and the Member’s communication preferences.
Members are responsible for maintaining accurate contact information and for using a current version of any Sweetwaters app or digital service required to access Program features. Failure to maintain current information or compatible technology may affect access to the Program.
Program Communications and TCPA Consent
By enrolling in SweetRewards or providing your mobile phone number, you expressly consent to receive recurring automated marketing, transactional, and administrative text messages (including SMS and MMS) sent by or on behalf of Sweetwaters. These messages may include multi-factor authentication codes, point balance updates, account alerts, order confirmations, and promotional offers. Consent to receive automated marketing text messages is not a condition of any purchase or requirement to participate in the Program.
Multi-Factor Authentication (MFA) and Login Requirements
For account security, SweetRewards requires Multi-Factor Authentication via SMS. A valid, text-enabled mobile phone number is required to create, log in to, or verify your SweetRewards account. A one-time verification code will be sent to your mobile device each time you sign up, log in, or perform sensitive account transactions. You acknowledge that opting out of SMS messaging will disable your ability to receive authentication codes, log into your digital account, or access digital Rewards. Sweetwaters is not liable for any inability to log in, access Point balances, or redeem Rewards resulting from your failure to maintain an active text-enabled number or enabling SMS transmissions.
Opt-Out (STOP) and Support (HELP) Procedures
You may unsubscribe from promotional text messages at any time by texting STOP to any short code or phone number from which you receive Sweetwaters text messages. After texting STOP, you may receive a final confirmation text confirming your opt-out status. To receive help or instructions regarding text messaging services, reply HELP to any text message or contact Sweetwaters customer support. Opting out of promotional communications does not automatically unsubscribe you from transactional messages related to specific orders or active account authentication requests.
Message Rates, Frequency, and Carrier Liability
Message and data rates may apply to any SMS messages sent or received under the Program, depending on your wireless rate plan. Message frequency varies based on your account activity, preference settings, and program interactions. Neither Sweetwaters nor supported mobile wireless carriers are liable for delayed, misdirected, or undelivered text messages. You are responsible for keeping your contact information current in your SweetRewards account profile.
Data collected through SweetRewards is processed according to the Privacy Policy.
15. Changes to or Termination of SweetRewards
Sweetwaters reserves the right, subject to applicable law, to change, suspend, limit, replace, or terminate the Program or any Program feature, including: the rate at which Points are earned; the transactions or products that qualify; the number of Points required for a Reward; the redemption value or composition of Rewards; Point or Reward expiration rules; participating locations; Program eligibility; promotions; account features; and any other Program rule, benefit, or feature.
Sweetwaters does not guarantee that the earning rate, redemption value, available Rewards, or other Program benefits in effect when Points are earned will remain unchanged until those Points are redeemed. Changes may apply to existing Point balances to the extent permitted by applicable law.
If Sweetwaters materially modifies or terminates the Program, Sweetwaters may provide notice through the Sweetwaters app, website, email, in-store communication, or another reasonable method. Any wind-down or final redemption period offered by Sweetwaters will be subject to the terms provided with that notice.
Unless required by applicable law, termination or modification of the Program does not require Sweetwaters to pay cash or provide a cash-equivalent value for unused Points or Rewards.
16. Cancellation or Termination of Membership
A Member may discontinue participation in SweetRewards at any time by following the account-cancellation process made available by Sweetwaters. Upon cancellation or termination of a Member account, unused Points and Rewards may be forfeited and become unavailable, subject to applicable law and any specific terms disclosed at the time of cancellation.
Sweetwaters may suspend or terminate an account for violation of these Terms & Conditions, fraud, abuse, unlawful conduct, or other conduct that Sweetwaters reasonably determines threatens the integrity or operation of the Program. Termination may result in forfeiture of Points and Rewards, subject to applicable law.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Sweetwaters is not responsible for losses arising from unauthorized access to a Member account, inaccurate account information provided by a Member, delays or errors in crediting or deducting Points, unavailable Rewards, interruptions in Program technology, third-party service failures, or the closure or non-participation of a particular location, except to the extent caused by Sweetwaters’ violation of applicable law.
Nothing in these Terms & Conditions excludes or limits liability that cannot lawfully be excluded or limited.
18. EXAMPLE DISPUTE RESOLUTION, ARBITRATION, AND WAIVERS
18.1 Informal Resolution Before Filing
Before commencing arbitration or a court proceeding, the party asserting a dispute or claim arising out of or relating to SweetRewards, these Terms & Conditions, a Member account, Points, Rewards, Program communications, or the parties’ relationship concerning the Program (a “Dispute”) must provide the other party with written notice describing the Dispute and the relief requested. The parties will attempt in good faith to resolve the Dispute informally for at least thirty (30) days after receipt of the notice before commencing arbitration, except where immediate injunctive relief is reasonably necessary or applicable law provides otherwise.
18.2 Binding Individual Arbitration
Except for claims that qualify for small claims court and any claims that applicable law prohibits from being arbitrated, the Member and Sweetwaters agree that any Dispute will be resolved by final and binding arbitration on an individual basis, rather than in court. The arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules then in effect, as applicable, unless the parties mutually agree to another arbitration provider or procedure.
This arbitration agreement is intended to be governed by and enforced under the Federal Arbitration Act and applicable federal arbitration law. The arbitrator may award the same individual remedies that a court could award, subject to these Terms & Conditions and applicable law. Judgment on the arbitration award may be entered in any court having jurisdiction.
18.3 Michigan Arbitration Location and Court Venue
Unless the parties agree to a remote proceeding or another location, any in-person arbitration will take place in the State of Michigan at a reasonably convenient location determined under the applicable AAA rules. Any court proceeding permitted under these Terms & Conditions, including an action to enforce an arbitration award or a claim that is not subject to arbitration, will be brought in a state or federal court located in Michigan, except where applicable law requires a different venue.
18.4 Small Claims Court
Either party may bring an individual Dispute in a court of competent jurisdiction that qualifies as small claims court, provided the matter remains an individual action and otherwise satisfies that court’s requirements. If a small claims action is transferred, removed, or appealed to a court of general jurisdiction, either party may seek to compel arbitration to the extent permitted by law.
18.5 Class, Collective, and Representative Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE MEMBER AND SWEETWATERS EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT AND RESOLVED ONLY ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING, JOIN, OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR ARBITRATION AGAINST THE OTHER, EXCEPT TO THE EXTENT A PARTICULAR WAIVER IS PROHIBITED BY APPLICABLE LAW. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY’S INDIVIDUAL CLAIM.
18.6 Jury-Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, THE MEMBER AND SWEETWATERS EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.
18.7 Government Agencies and Non-Waivable Rights
Nothing in this Section prevents a Member from bringing a matter to the attention of a federal, state, or local government agency to the extent permitted by law, or from exercising rights that cannot lawfully be waived or required to be arbitrated.
18.8 Severability of Dispute-Resolution Terms
If any portion of this Section 18 is determined to be invalid or unenforceable as to a particular claim or requested remedy, the remaining portions will be enforced to the fullest extent permitted by law. Any issue that applicable law requires a court, rather than an arbitrator, to decide will be decided by a court of competent jurisdiction.
19. Governing Law
Except to the extent the Federal Arbitration Act or other federal law applies, these Terms & Conditions are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.
20. General Terms
Sweetwaters’ failure to enforce any provision of these Terms & Conditions does not waive its right to enforce that provision or any other provision later. Except as specifically addressed in the dispute-resolution section above, if any provision is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Sweetwaters may assign or transfer its rights and obligations relating to the Program as part of a merger, sale, restructuring, service-provider arrangement, or other business transaction, subject to applicable law. Members may not assign their Program rights or accounts except as expressly permitted by Sweetwaters.
These Terms & Conditions, together with any applicable Reward or promotion terms and any other terms expressly incorporated by reference, constitute the rules governing participation in SweetRewards.
